Ratified on January 12, 1995
Preamble: There comes a time when we must join in a mighty struggle. Together we must fight the demons of underexposure, bad lighting and imperfect composition. We must provide means for the repressed and hidden artistic powers within IU students to blossom and fragrance the world. We must bring photography to the yearning IU masses. Therefore, we hereby form this organization to shine forth the joy of photography.
Article I. The organization shall be known as Exposure, the IU Photo Club.
Article II. There shall be no restriction on membership in Exposure. General events and meetings must be open to the entire student population, given there is sufficient facility capacity
Article III. The Exposure officers shall be the President, the Vice-President, the Treasurer, the Darkroom Director, the Information Director and the Membership Director. All offices will have a term of one year, starting on May 15.
Article IV. The governing body of Exposure shall be the Executive Council. The Executive Council shall consist of the President, the Vice-President, the Treasurer, the Darkroom Director, the Information Director and the Membership Director.
Article V. The authority to call or cancel meetings belongs with the Executive Council. Members must be notified of any Constitutional or electional matters to decided upon at a meeting at least a week before the meeting.
Article VI. Amendments to the Constitution can be proposed by any member. An immediate majority vote will determine if the Amendment will be considered. If the Amendment passes the first vote, all members will be informed of if before the next meeting where it will need a three-fourths affirmative vote of those present to pass.
By-Laws
1. Membership Rights: Exposure members shall have the right to attend all Exposure general meetings. Members can join or resign at any time. and no one can be barred from general meetings, regardless of how delinquent their dues are. Under no circumstances will mandatory attendance be taken at a meeting.
2. Membership Dues: The Executive Council shall have the right to establish membership dues and fees for special services or events. Members who do not pay their dues and fees will not be allowed to use the special services or attend the special events.
3. The Executive Council: The Executive Council shall be the governing body of Exposure. Decisions will made through a majority vote, if necessary. The President, when time is limited, can act without the Executive Council's approval on all matters except dues and fees, provided he or she duly informs the Council of his or her actions. If the President and the Executive Council cannot come to agreement, the issue must be brought before the members, If an acceptable conclusion cannot be reached, none of the Executive Council members will allowed snacks at that meeting as a reminder that they are taking themselves too seriously.
4. The Officers: The Executive Council shall consist of the following officers, with their related rights and responsibilities.
President: The President shall head the Executive Council and lead the club with wisdom, foresight and understanding. The President must prepared to do everything the other Council members forget to do.
Vice-President - External Affairs: The V-P External Affairs shall plan and organize club activities. The V-P of External Affairs shall take over the Presidency until elections can be held should the President be assassinated or otherwise inconvenienced .
Vice-President - Internal Affairs: The V-P of Internal Affairs shall advertise meetings and gather relevant information for the club. At a minimum, the V-P of Internal Affairs should be able to read and write and maintain a web site.
Vice-President - Financial Affairs: The V-P of Financial Affairs shall handle financial transactions and report the club's financial condition to the members. The V-P of Financial Affairs should be able to add, subtract and balance a checkbook.
Darkroom Director: The Darkroom Director shall supervise the darkroom if the club is operating one. The Darkroom Director preferably should live in the same residence hall as the darkroom and have darkroom expertise.
5. Elections: Officer elections must be held before April 20 of each year. The Executive Council must inform the club members about the elections at least three weeks before it is they are to be held. All members are eligible to run for office and no candidate shall be forced to make a speech against his or her wishes. A candidate may be elected in absentia, but members may not vote in absentia. If a vacancy arises during the year, elections should be held as soon as possible to fill it. The Executive Council can add any positions it deems necessary during the course of the year which must also be filled by election and are not permanent unless added to the Constitution.
6. Committees: Committees can be formed and dissolved at the discretion of the Executive Council.
7. Meeting Procedures: Members of Exposure shall never be forced to follow "Robert's Rules of Order" or any other parliamentary manual. All members shall have the right to state their opinion, given they remain polite. Members that cannot attend a meeting, but have an opinion on an issue that they would like expressed at the meeting can log their opinion with a member of the Executive Council who will read it at the meeting.
8. Quorum: Quorum will not be used. Decisions or Amendments can be made regardless of the number of people at a meeting, provided that the members have been informed of the meeting. An E-mail message at least a week before the meeting, detailing the meeting time and issues to be discussed, is considered sufficient.
9. Amending The By-Laws: The By-Laws can be amended by a majority vote of those present at a meeting, given the notification requirements in By-Law 8 are satisfied.
